1. THE AGREEMENT

This Coaching Agreement ("Agreement") is entered into between Tracey Gold, operating as The Possessed Flower / The Ritual ("Coach," "I," "me"), and the individual purchasing coaching services ("Client," "you"), effective as of the date of purchase.

By purchasing, enrolling in, or otherwise engaging with The Ritual coaching program, you agree to the terms set out below in full.

2. DESCRIPTION OF SERVICES

The Ritual is a private, 1:1 coaching program delivered entirely online and asynchronously. There are no live calls, video sessions, or scheduled meetings included in this program.

The program includes:

Personalised training and nutrition guidance, delivered directly to Client following completion of the Intake Form

Weekly Return check-ins (written reflection and realignment support, submitted by Client and reviewed by Coach)

Ongoing access to a growing library of practical resources ("The Vault")

Direct written support via the Guidance Request Form

Access to a private group Telegram space for ongoing community connection and informal support

Initial Term: 12 weeks

Price: $397 per month (billed 4 weekly for the duration of the initial 12-week term)

Continuation: At the end of the initial 12-week term, Client may choose to purchase ongoing monthly membership to continue coaching. Ongoing membership is not automatic and requires a new purchase decision by the Client.

3. PAYMENT TERMS

Payment of $397 is due 4 weekly, in advance, for the duration of the initial 12-week term.

Failure to make payment by the due date may result in suspension of access to coaching services, including the Guidance Request Form, Telegram group access, and The Vault, until payment is received.

All prices are listed in NZD and are inclusive of applicable taxes as required by law.

4. REFUND POLICY

The Ritual is a coaching service that requires significant time, preparation, and personalised support. For this reason, all sales are intended to be final, and refunds are generally not available once payment has been made.

Nothing in this Agreement is intended to exclude, restrict, or modify any rights or remedies you may have under the Consumer Guarantees Act 1993 or any other applicable New Zealand consumer protection legislation.

If you believe the services provided do not meet your rights under New Zealand law, please contact the Coach promptly so the matter can be discussed and, where appropriate, resolved.

Please review this Agreement and the program description carefully before purchasing. If you have any questions about whether The Ritual is right for you, contact the Coach before enrolling.

5. CLIENT RESPONSIBILITIES

Client agrees to:

Provide honest, accurate information in the Intake Form and PAR-Q regarding health history, goals, and progress

Communicate promptly regarding any injuries, health changes, or concerns arising during the program

Use the Guidance Request Form and Telegram group respectfully and in good faith

Understand that results vary between individuals, and no specific outcome is guaranteed.

6.. COMMUNICATION & RESPONSE TIMES

This program is delivered entirely online. There are no live calls, video sessions, or scheduled appointments of any kind.

Primary communication channels: the Guidance Request Form and email.

A private Telegram group is provided for ongoing informal support and community connection. The Coach is personally active in this space but it is not a substitute for the Guidance Request Form for matters requiring detailed or formal response.

The Coach aims to respond to submitted Guidance Requests within 36-48 hours during business days.

Client agrees not to share, screenshot, or redistribute private coaching communications, Telegram group content, or provided materials outside the program.

7. CONFIDENTIALITY

The Coach agrees to keep Client's personal health information, goals, and shared communications confidential, except where disclosure is required by law or necessary to protect the safety of the Client or another individual.

Client agrees to keep the content of the Telegram group confidential, respecting the privacy of any other participants.

8. HEALTH & MEDICAL DISCLAIMER

The Coach is not a licensed physician, dietitian, psychiatrist, or medical professional. The Ritual provides general coaching, education, and accountability support related to nutrition, movement, and identity/mindset work. It is not a substitute for medical, psychological, psychiatric, or dietetic advice, diagnosis, or treatment.

As part of enrollment, Client completes an Intake Form including a Physical Activity Readiness Questionnaire (PAR-Q). Client acknowledges that:

Client has answered the Intake Form and PAR-Q honestly and to the best of their knowledge.

If Client answered "yes" to any PAR-Q question, Client is responsible for obtaining medical clearance from a qualified healthcare provider before beginning any training or nutrition guidance provided through The Ritual, and proceeding without doing so is undertaken entirely at Client's own risk.

Client should consult a qualified healthcare provider before beginning any new nutrition or exercise program, particularly if Client is pregnant, has a pre-existing medical condition, has a history of disordered eating, or is otherwise at increased risk from changes in diet or physical activity.

The Coach will rely on the information provided by Client in the Intake Form, and the Coach is not responsible for verifying the accuracy or completeness of that information.

Participation in The Ritual is voluntary and undertaken entirely at Client's own risk.

If Client is experiencing a medical or mental health emergency, including thoughts of self-harm, Client should contact emergency services or a crisis helpline immediately. Neither the Guidance Request Form nor the Telegram group is a crisis support channel.

9. INTELLECTUAL PROPERTY

All materials provided as part of The Ritual including but not limited to training plans, nutrition guidance, written resources, worksheets, the Weekly Return template, and any other original content ("Materials") are the intellectual property of Tracey Gold / The Possessed Flower and are protected under applicable copyright law.

Client is granted a personal, non-transferable, non-exclusive license to use the Materials for their own individual purposes during and after their participation in the program.

Client may not:

Reproduce, distribute, or share the Materials with any third party

Use the Materials, or the structure/methodology of The Ritual, to create derivative coaching products, programs, or services for sale or distribution

Post, publish, or otherwise make the Materials publicly available in any form

Any breach of this section may result in immediate termination of services without refund, and the Coach reserves the right to pursue any available legal remedy.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Coach shall not be liable for any indirect, incidental, special, or consequential damages arising from Client's participation in The Ritual, including but not limited to injury, illness, or dissatisfaction with results.

Client's sole remedy for any dispute arising under this Agreement is limited to the amount actually paid by Client for the specific service period in question.

11. TERMINATION

The Coach reserves the right to suspend or terminate this Agreement and discontinue services immediately where the Client:

Fails to make required payments.

Engages in abusive, threatening, discriminatory, or harassing behaviour towards the Coach or other participants.

Breaches the confidentiality or intellectual property provisions of this Agreement.

Engages in conduct that makes it unreasonable or unsafe for the coaching relationship to continue.

Where services are terminated due to the Client's breach of this Agreement, refunds will not ordinarily be provided, subject to the Client's rights under the Consumer Guarantees Act 1993 and any other applicable New Zealand law.

The Client may end their participation in The Ritual at any time by providing written notice. Unless otherwise required by law, payments already made are non-refundable

12. GOVERNING LAW

This Agreement is governed by and shall be interpreted in accordance with the laws of New Zealand.

Nothing in this Agreement is intended to exclude, restrict, or modify any rights or remedies available to consumers under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other applicable New Zealand legislation.

13. ACKNOWLEDGEMENT

By purchasing and participating in The Ritual, the Client confirms that they have read, understood, and agree to be bound by this Agreement, including the coaching disclaimer, health disclosures, PAR-Q requirements, intellectual property provisions, cancellation and refund policy, and all other applicable terms.

14. SEVERABILITY

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
